Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of threegreenagency.com (the "Site") and any services provided by Three Green, LLC ("Three Green," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms.

2. Our Services

Three Green provides website development, custom software, AI content, graphic design, physical marketing, social media management, Google Workspace setup, and tech consulting on an à la carte basis. Specific deliverables, timelines, and fees for each engagement are defined in a separate proposal, quote, or written agreement with the client.

3. Client Project Ownership

Upon full payment for a project, the client owns all final deliverables created specifically for them under that engagement, including websites, custom software, source code, graphics, written content, and marketing materials ("Client Deliverables"). Three Green assigns all applicable rights, title, and interest in the Client Deliverables to the client on payment in full.

Excluded from this transfer are: (a) Three Green's pre-existing tools, frameworks, templates, internal libraries, and know-how; (b) third-party software, fonts, plugins, images, or services licensed to the client directly by their respective owners; and (c) open-source components governed by their own licenses. For any such Three Green-owned components embedded in a deliverable, the client receives a perpetual, worldwide, royalty-free license to use them as part of that deliverable.

Unless the client requests otherwise in writing, Three Green may display non-confidential Client Deliverables in its portfolio and marketing materials.

4. Site Content & Intellectual Property

All content on threegreenagency.com — including text, graphics, logos, the "Three Green" name and marks, page layouts, code, and design — is owned by Three Green, LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, republish, scrape, resell, or create derivative works from the Site without our prior written permission. Nothing on the Site grants any license to Three Green's brand, trademarks, or proprietary materials.

5. Acceptable Use

You agree not to (a) use the Site to violate any law, (b) interfere with or disrupt the Site or its infrastructure, (c) attempt to gain unauthorized access to any portion of the Site or related systems, (d) submit false, misleading, or unlawful information through our forms, or (e) use automated tools to harvest content or contact information.

6. Payment & Engagements

Fees, deposits, milestones, and refund terms for each project are set out in the applicable proposal or written agreement. Late payments may pause work and delay ownership transfer of Client Deliverables under Section 3.

7. Disclaimers

The Site and any content or information on it are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, Three Green, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site. Our total aggregate liability arising out of or related to the Site is limited to one hundred U.S. dollars ($100). Liability for paid engagements is governed by the applicable project agreement.

9. Indemnification

You agree to defend, indemnify, and hold harmless Three Green, LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms.

10. Third-Party Links & Services

The Site may link to third-party websites or services that we do not control. We are not responsible for their content, policies, or practices, and inclusion of any link does not imply endorsement.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Illinois, and you consent to personal jurisdiction there.
